Terms and Conditions of Sale (TCS)

PREAMBLE – SCOPE OF APPLICATION

These Terms and Conditions of Sale (hereinafter referred to as the "TCS"), along with the “Privacy Policy” and “Legal Notice” sections, apply to the e-commerce website www.myriamkparis.com (hereinafter referred to as the "Myriam•K Paris® Online Store"), which offers for sale cosmetic products from the Myriam•K Paris® brand (hereinafter referred to as the "Products"). Orders may be delivered within mainland France, Corsica, Monaco (excluding P.O. boxes), Europe, and internationally (hereinafter referred to as the "Territory").

Any order placed through the Myriam•K Paris® Online Store constitutes full and complete acceptance of these TCS by the customer making the purchase (hereinafter referred to as the "Customer"). These TCS may be saved and/or printed and are accessible from every page of the Myriam•K Paris® Online Store. The TCS may be modified at any time, with the applicable version being the one accepted by the Customer at the time of purchase, available through the order confirmation email.

The website www.myriamkparis.com (hereinafter referred to as the "Site"), which includes the Myriam•K Paris® Online Store, is operated by MK FRANCE, a simplified joint-stock company with a capital of €100,000. Its registered office is located at 36 Rue de Ponthieu, 75008 Paris, France. It is registered with the Paris Trade and Companies Register under number 52786424300011 and holds the EU VAT number FR35527864243. The publication director is Youcef Bennadja, acting as president.

The Site is hosted by Shopify, located at 151 O’Connor St Ground Floor, Ottawa, ON K2P 2L8, Canada, and reachable via email at support@shopify.com.

The Myriam•K Paris® Online Store allows MK France to sell Products to non-professional customers acting as consumers, over the age of 18 and with full legal capacity. All sales are intended for individual, personal use only. As such, MK France limits orders to four (4) units per product reference, with a maximum of fifteen (15) items per customer.

PRODUCTS

The Products offered for sale on the Myriam•K Paris® Online Store are described and presented as accurately as possible (specifications, images, size, composition, etc.). However, customers are encouraged to refer to the detailed description of each Product by clicking on its respective product page to understand its features and properties. It is the Customer’s sole responsibility to ensure that the selected Product meets their expectations and needs before making a purchase.

PRICES

The prices applied are those displayed on the Myriam•K Paris® Online Store at the time the order is placed. Customers are informed that prices may change over time. If the Customer has created a personal account, the prices shown in the “My Account / My Orders” section on the order history page reflect the prices paid at the time of each past purchase. Therefore, if the Customer uses the “Reorder” function from that page, the same product may be offered at a different price than during the previous order.

Customers are advised to carefully review the current price when placing a new order and when adding products to the cart. Prices are shown in Euros (€), including all taxes (VAT), and do not include shipping costs (hereinafter referred to as "Shipping Fees"). These Shipping Fees are clearly displayed on the cart summary page and again before order confirmation and payment.

PAYMENT PROCESS & SECURITY

Once you validate your cart, you’ll be redirected to the payment page hosted by our secure partner, Shopify Payment. This page is not part of the Myriam•K Paris® website. Your payment information is never stored or processed on our servers.

After your payment is confirmed, you’ll be redirected back to www.myriamkparis.com to view your order summary. Please do not close the payment page before the redirection, as this confirmation screen provides your order number. You will also receive a confirmation email.

Myriam•K Paris® reserves the right to refuse any order if there are concerns about secure and lawful payment, or in the case of suspected fraud or activity that does not comply with French and European regulations. All orders require payment in full. Legal action may be taken in the event of fraudulent payment.

3D SECURE PROTECTION

To ensure a secure transaction, Myriam•K Paris® may activate the 3D Secure protocol for authentication. After entering your card details, you may be redirected to your bank’s secure platform or app to complete identity verification.

REFUND PROCESS

For physical returns, please follow the instructions in our Terms and Conditions under the section: Cancel Your Order & Return Policy.

RIGHT OF WITHDRAWAL

Once your request is received, your refund will be processed within 1 to 2 business days. Depending on your financial institution, it may take 5 to 7 business days for the amount to appear in your account.

Order Validation

Your order is confirmed only after:

– Acceptance of our Terms and Conditions
– Verification and validation of your payment

The Seller reserves the right to cancel or refuse any order or delivery in the following cases:

(i) Order exceeds quantity limits described in the “PAYMENT” section
(ii) Ongoing dispute with the Buyer
(iii) Full or partial non-payment of a previous order
(iv) Payment authorization denied by the bank
(v) Failed or incomplete payment

GIFT CARDS

1 - Purchase and Use

- Digital gift cards are available for purchase on our website and can be used exclusively for online orders placed through our platform.

- They can be purchased using the payment methods available at checkout.

- Once the purchase is complete, the gift card will be sent by email to the recipient provided at the time of purchase.

2 - Validity and Expiration

- Each digital gift card is valid for one year from the date of issue.

- After that period, the card will expire and any remaining balance will no longer be available.

3 - Amount and Partial Use

- Gift cards are loaded with a specific amount at the time of purchase.

- They can be used across multiple orders until the full balance is spent.

- If your purchase total exceeds the balance of the gift card, the difference can be paid using any other accepted payment method.

4 - Non-Refundable

- Digital gift cards are non-refundable and cannot be exchanged for cash or other forms of payment.

5 - Transfer and Security

- Responsibility for the safe use of the gift card passes to the recipient once it has been issued.

- Gift cards can be transferred to someone else, but we are not responsible for cards that are lost, stolen, or used without permission.

6 - Privacy

- All personal information collected during the purchase of a gift card is processed in accordance with our privacy policy to protect your data.

ORDERS

To place an order, the Buyer must first log in to the Site. The Buyer can then view the various Products available for sale at the time of browsing and select their desired Products either by navigating through the product categories or by entering the name of a specific Product in the search bar.

While browsing, the Buyer can add a Product to the shopping cart by clicking the designated button. Once this action is completed, the number of items in the cart will appear. Please note that the contents of the cart may be subject to expiration after a certain period of inactivity.

The Buyer may continue browsing or click on the shopping cart to review its contents, which include a summary of the selected items, their key features, the total order amount, billing and shipping details, delivery timeframes, fees and any possible restrictions, as well as the Buyer’s legal rights and guarantees.

The Buyer may update, modify, or cancel the order at any time before confirming it. If they wish to add more items, they may continue browsing while keeping previously selected Products in the cart.

At any point during the ordering process and before payment is completed, the Buyer may revise, add to, modify, or cancel their order.

Once the selection is complete, the Buyer confirms the order by clicking the designated button. A new page will appear prompting the Buyer to either enter their login credentials if already registered, or complete the personal information form with all required fields, including name, surname, email address, billing address, and shipping address (a location where delivery is possible during business hours, Monday to Friday, within France).

The Buyer agrees to fill out the form truthfully. The information provided will be considered accurate and will serve as proof of identity. This data is governed by our Privacy Policy, which can be accessed here.

After reviewing the order, the Buyer will be invited to either proceed to payment under the terms outlined in these TCS or return to the cart to update their order or contact information.

To prevent fraud, an order will only be validated if the cart value meets a minimum of 5 euros including tax (excluding shipping) and does not exceed a maximum of 1500 euros including tax (excluding shipping).

Before proceeding with payment, the Buyer must first read and then accept the Terms and Conditions by taking a confirmation action required on the Site, such as checking a box.

Once the Terms and Conditions are accepted, the payment page will appear. The Buyer must then proceed with payment according to the methods described in these TCS.

If choosing to pay by credit card, the Buyer will be redirected to the payment provider’s secure server. This server is protected using SSL (Secure Socket Layer) encryption to safeguard payment data. At no point will the Buyer’s banking information be processed or stored by the Seller’s systems, and the Seller bears no responsibility for this data.

All data recorded by the Seller shall serve as proof of all transactions made between the Buyer and the Seller.

PRE-ORDER PRODUCT PURCHASES

A product may become temporarily unavailable due to high demand or as part of a promotional campaign. In some cases, we offer customers the option to pre-order the item up to approximately two weeks before it is restocked. This allows those customers to be first in line once the product becomes available again.

If a product is available for pre-order, it will be clearly marked on the product image in the online store. The expected shipping or delivery date will also be displayed in the same area.

Pre-order purchases are subject to the same terms and conditions as all other product purchases on the online store. However, please refer to the additional information below regarding cancellation and changes to pre-orders.

If you place an order for a pre-order item, it will not be shipped until the product is back in stock. This means you will receive an order confirmation as soon as your order is placed, but your payment will not be processed until the product becomes available and your order is ready to be packed and shipped.

You will receive email updates when your order ships, along with tracking information so you can follow the delivery progress.

If you wish to cancel your pre-order or make changes to your order, please contact us at contact@m-kfrance.com as soon as possible before the order is shipped, and we will do our best to assist you.

ORDER CONFIRMATION

Once the order is confirmed and payment is successfully processed according to the terms outlined below, a printable and savable summary of the Buyer’s order is displayed, including the order reference number.

A confirmation email is sent as soon as possible by the Seller to the email address provided by the Buyer. It includes the following information:

- The Seller’s identity and contact information
- The reference number assigned to the order at the time of purchase
- A summary of the order and the essential characteristics of the products
- Shipping times, fees, and any applicable delivery restrictions
- The total amount of the order, including all taxes
- The Buyer’s legal rights and guarantees
- Confirmation of payment

The Seller retains ownership of the Product(s) ordered until full payment is received, including shipping costs.

In the event of a payment issue, the Buyer agrees to return the received products to the Seller upon first request.

To protect the Seller from fraudulent practices, if the Seller or the online payment provider suspects an order to be fraudulent, they reserve the right to request additional documentation before processing the order. This may include proof of address, proof of charge under the Buyer’s name, a copy of the Buyer’s ID, or a copy of the Buyer’s credit card.

If the Buyer does not respond within fifteen (15) days of receiving the request from the Seller or payment provider, the order will be canceled. The Seller will then issue a refund within fourteen (14) days after the expiration of this response period, using the same payment method initially used by the Buyer.

PROOF OF ORDER

It is expressly agreed between the Seller and the Buyer that email correspondence shall serve as valid proof between both Parties, as well as the automatic recording systems used on the Site, particularly regarding the nature and date of the order.

In accordance with applicable law, the Buyer may access the electronic contract concluded between the Buyer and the Seller. To do so, the Buyer must contact Customer Service at contact@m-kfrance.com and provide all necessary details, including the order number and their contact information.

SHIPPING AND ORDER STATUS

Shipping costs and delivery times for Mainland France and Monaco (excluding Corsica) are as follows:

Delivery method and rate per order

COLISSIMO: Delivery to post offices or pick-up points — Standard delivery within three (3) to seven (7) business days. Cost: €5.90. Free shipping for orders over €75 within Mainland France.

DHL: Once your order is prepared and shipped by our logistics team, delivery will take 48 to 72 hours. The rate is calculated based on the weight of your order.

Shipping for French Overseas Territories (DOM-TOM):

Delivery method and rate per order

Chronopost home delivery with signature — Delivery within five (5) to seven (7) business days. The rate is based on the weight of your order.

Shipping for international destinations:

Delivery method and rate per order

DHL International Delivery — Estimated delivery within five (5) to seven (7) business days. The rate is based on the weight of your order.

This shipping cost is added to the total price of your order. Before you confirm your purchase, shipping fees and delivery method will be clearly displayed during the checkout process. Delivery time is typically three (3) to seven (7) business days after the carrier picks up your order.

Shipping to another recipient or as a gift:

You can ship your purchase to a different delivery address than your billing address (for example, to your workplace or as a gift), provided both addresses fall within the regions covered in our Terms and Conditions under Shipping Policy. During checkout, simply enter the desired delivery address when prompted.

Important information:

For security reasons, your billing address must match the address listed on the credit card statement used for payment. We reserve the right to cancel any order that does not meet this requirement.

Shipping confirmation and tracking:

Once your order is confirmed, you will receive a confirmation email. When a tracking number is assigned to your package, you will receive a separate email with the tracking number so you can follow the status of your shipment.

Order status:

You can also find your tracking number and order status in the "My Account" section. Log in using your credentials to view your order history under “My Orders,” where you will see the date, total amount, and current status of each order. Click on “Details” to view more information about a specific order.

SHIPPING TERMS

Once the order is prepared, it is shipped to the mailing address provided by the Buyer during the checkout process.

Products are delivered by COLISSIMO* or DHL (depending on the shipping method selected or automatically assigned). If the Buyer is absent at the time of delivery, the carrier reserves the right to drop the package at a nearby pickup location, where it will be available starting the next day.

In case of any delivery issue, the Buyer must contact the carrier to arrange a new delivery date.

The Buyer is informed that the package will be held by the carrier or at the pickup location for a period of 5 days in a pickup relay and 14 days in a standard relay point after the first delivery attempt, before being returned to the sender.

If the Buyer does not reach out to the carrier within this period, the package will automatically be returned to the sender.

DELIVERY TIMES

DELIVERY TIMES

Orders paid by credit card are processed within a maximum of three (3) business days. Please note that an order is not shipped until it has been fully processed.

Once the order is processed, the Products are delivered by the carrier within the following estimated timeframes:

France – Pickup Point Delivery (Colissimo): 72 hours or three (3) business days

France – Home Delivery with Signature (Colissimo): 72 hours or three (3) business days

France – Express Delivery (DHL): 48 to 72 hours or two (2) to three (3) business days

International Delivery (DHL): five (5) to seven (7) business days

Sundays and public holidays are not considered business days.

In any case, the order will be fulfilled within a maximum of thirty (30) days from the day after the Buyer confirms the order, provided full payment has been received and the purchase conditions outlined in the “Purchase Conditions” section of these Terms have been met.

If delivery does not occur within this timeframe, the Buyer has the right to cancel the order under the terms outlined in the “Late Delivery” section below.

CANCEL YOUR ORDER & RETURN POLICY

Canceling your order

If you wish to cancel your order: Our warehouse processes orders in the morning from Monday to Friday (excluding public holidays). If you would like to cancel your order, please contact our Customer Service at contact@m-kfrance.com. If your order has not yet been prepared, we will be able to cancel it. If the order has already been prepared, we won’t be able to cancel it, but you can refuse the package upon delivery directly with the carrier. We will process your refund once the package is returned to us.

If your order was canceled or modified by our system: Occasionally, orders or parts of orders may be canceled for various reasons. The item(s) may no longer be available for sale. There may have been an issue with payment processing. The package cannot be shipped to the provided address. The order was duplicated. You will be refunded for any canceled items. For more information, please contact our Customer Service at contact@m-kfrance.com.

Return policy

All return and refund requests must be made within fourteen (14) days of the delivery date, at your own expense. The product must be returned in new condition, in its original packaging, and must include the delivery slip and return form.

If your entire order is returned in accordance with the conditions listed above, we will refund the full amount of your original order. If only part of your order is returned, we will refund the value of the returned product only, excluding the original shipping fees.

If your order included a promotional gift, please include it with your return.

Your refund will be issued as soon as we receive your return. You will receive an email confirming the arrival of your package and the progress of your refund.

If you would like to exchange a product, simply return it as described above and place a new order through our online store.

Please note that only products purchased through our official website www.myriamkparis.com are eligible for return.

CANCELLATION TERMS FOR IN-PERSON TRAINING RESERVATIONS

Myriam•K Paris® offers in-person Brazilian straightening training sessions, a technique first introduced in France by our brand in 2009. These full-day trainings are held in Paris and include an in-depth theoretical session, hands-on practice, full-day support from a dedicated trainer, and lunch.

Cancellation Policy

1 - Cancellation up to 72 hours before the training date: Participants may cancel their reservation and receive a full refund if the cancellation is made at least 72 hours before the start of the session.

2 - Cancellation up to 48 hours before the training date: If the cancellation is made less than 72 hours but more than 48 hours before the session, 50% of the amount paid will be retained by Myriam•K Paris. The remaining 50% will be refunded to the participant.

3 - Cancellation less than 24 hours before the training date: No refund will be issued for cancellations made less than 24 hours before the training begins.

Payment Terms

Training fees must be paid in full by bank transfer or credit card before the session begins.

Each participant receives a complimentary Brazilian straightening kit from Myriam•K Paris.

Additional Information

- Location and Access: Trainings are held Tuesday through Friday in Paris.

- Who Can Attend: These sessions are open to individuals or groups who wish to specialize in Brazilian straightening.

- What to Bring: Participants are required to bring their own brushes and hairdryers.

- CPF Eligibility: This training is not eligible for coverage under the Compte Personnel de Formation (CPF).

DAMAGED PRODUCT(S)

If your package was damaged during transit, you must make clear and detailed notes on the delivery slip at the time of receipt. Any claims must be directed to the carrier.

(In accordance with Article L.133-3 of the French Commercial Code, all reservations must also be confirmed by registered letter to the carrier within three (3) days of receiving the package.)

Next, set aside the package and the damaged item(s), and notify our Customer Service team as soon as possible by email. Please include one or more photos of the damage. Don’t forget to include your order number and contact details in your message.

PRODUCT RECEIPT

Each delivery is considered complete once the Product(s) have been made available to the Buyer by the Carrier.

It is the Buyer’s responsibility to immediately check, at the time of delivery, the conformity and integrity of the Product(s) received.

Any irregularity or issue identified at the time of delivery — such as late delivery, missing item, or damaged product — must be clearly and accurately reported by the Buyer on the receipt provided by the Carrier and, if necessary, confirmed by registered mail to the Carrier within three (3) days following receipt of the order.

This type of claim must also be reported to the Seller’s Customer Service on the day of delivery at contact@m-kfrance.com. A copy of the complaint addressed to the Carrier should be attached.

In the event of a data entry error, particularly in the shipping address, that causes a delay or failure in delivery, the Seller cannot be held responsible. All costs related to the reshipment of products or the loss of goods due to a mistake made by the Buyer will be charged to the Buyer.

LEGAL GUARANTEES

In accordance with Articles L 211-4 and following of the French Consumer Code, the Seller is obligated to deliver a product that conforms to the order placed by the Buyer and is liable for any lack of conformity that exists at the time of delivery. To meet the requirements of conformity, the product must:

1° Be suitable for the purpose usually expected of such a product and, where applicable:

Match the description provided by the Seller and have the features presented to the Buyer in the form of a sample or model

Possess the qualities that a Buyer may reasonably expect based on public statements made by the Seller, the manufacturer, or their representative, particularly in advertising or labeling

2° Or have the characteristics agreed upon by both parties or be suitable for a special use requested by the Buyer, which was made known to the Seller and accepted by them

In addition, under Article 1641 of the French Civil Code, the Seller is liable for hidden defects in the product sold that render it unfit for its intended use or that diminish its use to such an extent that the Buyer would not have purchased it, or would have paid a lower price, had they known about the defects.

If the Products delivered do not match the Products ordered or have hidden defects, the Buyer must send an email to the Seller’s Customer Service at contact@m-kfrance.com to report the non-conformity or the hidden defect.

In accordance with Article L 211-12 of the Consumer Code and Article 1648 paragraph 1 of the Civil Code, the Buyer has a period of two (2) years from the date of delivery to assert their rights under the legal guarantee of conformity or the guarantee against hidden defects.

Any claim made after this two-year period from the date of delivery (for non-conformity) or from the discovery of the defect (for hidden defects) will be rejected, and Myriam•K Paris® will be released from any responsibility.

The Seller’s Customer Service will acknowledge receipt of the Buyer’s request and confirm the procedure to follow.

Once the Buyer receives instructions from the Seller's customer service, they must return the non-conforming or defective Products to the Seller. The Product(s) must be (i) returned in full, unused, in its original intact packaging and (ii) accompanied by the original packaging, the return form issued by customer service, and the invoice.

Additionally, the Seller does not accept:

(i) Packages returned with postage due. All risks associated with the return shipment are the responsibility of the Buyer

(ii) Packages dropped off at a pick-up point. Any returned order dropped off at a relay point cannot be processed or refunded

Upon receipt of the allegedly non-conforming or defective Product(s), the Seller will inspect the item(s) to verify conformity. The Seller may also perform a quality test to confirm that the returned Product(s) are authentic. These inspections will be carried out as quickly as possible and within a maximum period of one (1) month.

If non-conformity or a hidden defect is confirmed, the Seller will, at the Buyer's request:

Either refund the non-conforming or defective Product(s) along with any applicable shipping fees, using the same payment method used by the Buyer, within fourteen (14) days of receiving the returned Product(s)

Or exchange the non-conforming or defective Product(s), as requested by the Buyer. The replacement Product(s) will be sent at the Seller’s expense and in accordance with the terms outlined in these Terms and Conditions.

CANCELLATION POLICIES

The Buyer has a withdrawal period of fourteen (14) days, starting from the date the order is received, to return the Product(s) without having to provide a reason or pay any penalty.

The Buyer then has fourteen (14) days to return the Product(s) in full, unused, in its original intact packaging, and if possible, with the original outer packaging, the return form, and a copy of the invoice.

If the Product(s) is not returned within this fourteen (14) day period from the date of receipt, the order will be considered final and no refund will be issued, except in cases otherwise provided for in these Terms and Conditions.

Upon receiving the cancellation request, the Seller will acknowledge receipt via email or letter.

The Seller agrees to refund the Buyer the full amount paid. The refund will be issued using the same payment method used by the Buyer, within a maximum of fourteen (14) days after the Buyer exercises the right of withdrawal.

The refund may be delayed until the returned items are received by the Seller.

Return shipping costs are the responsibility of the Buyer.

Bidding on brand terms is restricted in the Myriam•K Paris® program.

Affiliates are not allowed to use "Myriam•K Paris®" as a keyword.

Do not bid on branded or broad match variations, including misspellings such as Myriam K or Myriam K Paris.

Affiliates may not place paid ads that outrank Myriam•K Paris®’s official listings on branded or generic terms.

To avoid broad match issues, restricted terms must be added as negative keywords in all Myriam•K Paris® PPC campaigns.

Affiliates are not permitted to use Myriam•K Paris® domains as display URLs in their campaigns. This includes, but is not limited to: www.myriamkparis.fr, www.myriam-kparis.fr

Affiliates who wish to run paid traffic campaigns using landing pages must contact us before doing so.

PPC affiliates who join the Myriam•K Paris® program without prior discussion may be declined.

Violations of these terms may result in withheld commissions and immediate suspension from the program.

There is a zero-tolerance policy for CSS feed providers — any use will result in suspension and rejected commissions until listings are removed.

Domain Restrictions

Affiliates may not register domains that are similar to or misspellings of the Myriam•K Paris® brand. Any such activity will result in rejected commissions and may trigger domain recovery actions.

Creatives

Affiliates must only use the official creative assets provided in their affiliate account for promoting Myriam•K Paris®.

Reviews and Compliance

Affiliates agree to comply with any correction requests from Myriam•K Paris® within seven business days. Exceptions are at the discretion of the affiliate program manager.

Myriam•K Paris® reserves the right to withhold commissions from any affiliate who fails to comply with these terms.

Promo Code Sites Prohibited

Promo code, coupon, or discount code sites are strictly prohibited from participating in the affiliate program.

If you are a private customer

To ensure proper execution of the General Terms and Conditions, Myriam•K Paris® collects certain personal data from the Buyer. These data are only shared with authorized personnel within Myriam•K Paris®.

The personal data processed by Myriam•K Paris® include identification details (first name, last name, postal address, phone number, email address), personal information (purchase history), financial data (bank details, payment data), and customer data (orders, delivery dates, etc.).

We do not collect any sensitive data such as religion, union membership, racial or ethnic origin, criminal records, or health-related data.

In compliance with the GDPR, Myriam•K Paris® retains your personal data for five years following the end of the contractual relationship. The data may be shared internally or with authorized bodies (such as tax, customs, or judicial authorities), as well as with subcontractors essential to service fulfillment.

Myriam•K Paris® strives to store data in France or within the European Economic Area (EEA). However, in some cases, data may be transferred outside the EEA. In such cases, we ensure that the destination country offers an adequate level of protection or that the transfer is covered by standard contractual clauses.

If you are a business client

In the context of executing these General Terms and Conditions, Myriam•K Paris® may process personal data on behalf of the Client. In this case, the Client acts as the data controller and Myriam•K Paris® as the data processor, as defined under the GDPR.

Myriam•K Paris® is authorized to process data solely for the purpose of fulfilling these Terms, based on the documented instructions provided by the Client. The Client reserves the right to modify or supplement these instructions in writing.

If Myriam•K Paris® considers any instruction to be in violation of applicable data protection law, it will inform the Client, who must provide clarification.

Both Parties acknowledge their respective responsibilities under data protection law: the Client as the data controller and Myriam•K Paris® as the data processor.

Myriam•K Paris® agrees to:

Only process personal data for the purposes outlined in the agreement, and not for its own use

Ensure the confidentiality of all personal data processed

Limit access to personal data to only those employees or subcontractors who need it to fulfill their tasks, ensure they are bound by confidentiality, and have received appropriate training

Provide the Client, upon request, with all necessary documentation to demonstrate compliance

Assist the Client in fulfilling obligations related to data security, data subject rights, impact assessments, and regulatory consultations

Return or destroy all personal data at the end of the contract, as per the Parties’ agreement

Myriam•K Paris® informs the Client of its use of additional subcontractors and ensures they offer sufficient guarantees of compliance.

These subcontractors are bound by the same obligations as outlined in this agreement, and Myriam•K Paris® remains fully responsible for their compliance.

Myriam•K Paris® aims to process personal data within the EU. If processing must occur outside the EU, the following conditions apply:

The destination country must have an adequacy decision from the European Commission, or

The transfer must be governed by appropriate safeguards, such as standard contractual clauses

The transfer must be secured with technical and organizational measures that preserve data integrity, confidentiality, and protection

If Myriam•K Paris® becomes aware of or suspects a security breach that may constitute a data breach, it agrees to notify the Client within seventy-two (72) hours.

The notification must include all available information about the breach, and documentation that may help the Client notify the appropriate authorities and affected individuals.

Myriam•K Paris® also agrees to:

Investigate the cause and scope of the breach

Implement measures to resolve the issue quickly and prevent future incidents

Myriam•K Paris® agrees to assist the Client with privacy impact assessments and to maintain a processor registry documenting all relevant data processing activities.

MISCELLANEOUS PROVISIONS

a. Force Majeure

Neither Party shall be held responsible for the total or partial failure to fulfill its obligations under this contract if such failure results from an event recognized as force majeure.

Force majeure refers to events meeting the criteria defined by the jurisprudence of the French Court of Cassation and relevant legislation.

The Party invoking force majeure must notify the other Party within five (5) business days of the occurrence of such an event.

The Parties agree to consult as soon as possible to determine how the order will be carried out during the force majeure event.

If the interruption lasts longer than one (1) month due to force majeure, the Seller may choose not to fulfill the order and, if applicable, will refund the Buyer.

b. Partial Invalidity

If one or more provisions of these Terms and Conditions are deemed invalid or declared as such by law, regulation, or final decision by a competent court, the remaining provisions shall retain full force and effect.

c. Entire Agreement

These Terms and Conditions, along with the order summary sent to the Buyer, form a complete contractual agreement and constitute the full legal relationship between the Parties.

In case of contradiction between documents, these Terms and Conditions shall prevail.

d. Changes to the Terms and Conditions

The Buyer may save or print these Terms and Conditions, provided they remain unaltered.

The current Terms and Conditions can be accessed at any time in the “Terms and Conditions of Sale” section available throughout the Site.

The Seller reserves the right to update these Terms and Conditions at any time. Any such updates will be clearly announced on the Site.

e. Governing Law

These Terms and Conditions and the contractual relationship between the Buyer and the Seller are governed by French law.
